Welcome to MATTR.

These Terms of Service ("Terms") govern your access to and use of the MATTR website, waitlist, early-access programmes, products, services, and any other features or experiences we make available through our website or other official channels (collectively, the "Services").

The Services are operated by Hopkyn Retail Private Limited ("MATTR", "we", "us", or "our").

MATTR's website is powered by Shopify.

Please read these Terms carefully before using the Services. By accessing, browsing, joining the waitlist, purchasing MATTR BITS, placing an order, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use the Services.

SECTION 1 — ELIGIBILITY AND USE OF THE SERVICES

You must be legally capable of entering into a binding agreement under applicable law to use the Services or make a purchase.

By using the Services, you represent that:

The information you provide to MATTR is accurate, current, and complete.
You will use the Services only for lawful purposes.
You will not use the Services in a way that could damage, disrupt, disable, overburden, or interfere with the Services or other users' access to them.
You will not attempt to gain unauthorised access to any part of the Services, accounts, systems, or security features.

If you provide information on behalf of another person, you represent that you are authorised to do so.

SECTION 2 — MATTR WAITLIST

MATTR may operate a waitlist before and during product launches.

Joining the waitlist may provide access to certain launch-related benefits, including early access, priority access, private drops, launch information, or other benefits described on the relevant waitlist page.

Waitlist registration does not guarantee:

Availability of any particular product;
A particular product, size, design, quantity, or price;
A guaranteed opportunity to purchase a product; or
Any particular launch date unless expressly stated by MATTR.

MATTR may modify, pause, restrict, or close the waitlist at any time, subject to applicable law and any specific commitments already made to you.

SECTION 3 — MATTR BITS AND PAID WAITLIST TIERS

MATTR may offer different waitlist tiers, including free and paid tiers.

Under the current waitlist structure, paid tiers may provide MATTR BITS in an amount displayed on the waitlist page at the time of registration.

For example, the current waitlist may provide:

Free: 0 BITS
₹500: 1,000 BITS
₹1,000: 2,000 BITS
₹1,500: 3,000 BITS

The applicable tier, amount, benefits, and MATTR BITS allocated to you will be those displayed at the time you register or make the relevant payment.

MATTR BITS

MATTR BITS are promotional credits associated with your MATTR waitlist registration.

Unless expressly stated otherwise:

1 BIT represents ₹1 of eligible value toward your first MATTR order.
Eligible MATTR BITS may be used toward your first order in accordance with the terms communicated by MATTR.
MATTR BITS are not cash, currency, a bank balance, or a financial instrument.
MATTR BITS cannot be redeemed for cash or transferred to another person unless MATTR expressly permits this.
MATTR BITS cannot be used outside the MATTR Services or for purposes not expressly permitted by MATTR.
Any expiry, eligibility, minimum order value, product exclusions, usage limits, or other restrictions applicable to MATTR BITS will be communicated by MATTR and may apply to their use.

MATTR may maintain a record of your waitlist tier and MATTR BITS balance.

Where the waitlist page provides additional benefits for particular tiers, including access to limited or private experiences, those benefits are subject to availability and the specific terms communicated by MATTR.

For example, the current waitlist may provide that registrations with ₹1,000+ BITS may receive an invitation to a separate MATTR experience, with ₹1,500 BITS receiving priority for that invitation.

Such invitations are not guaranteed unless expressly stated otherwise.

Paid Waitlist Payments

A payment made to join a paid waitlist tier is made in consideration of the applicable waitlist participation and benefits described on the relevant page.

The specific cancellation, refund, expiry, and other commercial terms applicable to a paid tier will be those communicated at the time of payment and any applicable Refund Policy.

SECTION 4 — LAUNCH ACCESS AND PASSWORDS

MATTR may provide registered users with a unique password, access code, invitation, or other credential for accessing a launch or private shopping experience.

Where provided:

Your access credential is intended for your individual use.
You must keep it confidential and must not publicly share, sell, publish, or distribute it.
MATTR may deactivate or replace an access credential where we reasonably believe it has been misused, shared, compromised, or used in violation of these Terms.
Possession of a launch password does not guarantee that a particular product will remain available.

MATTR may use limited-access launches, private drops, pre-orders, or other controlled purchasing mechanisms at its discretion.

SECTION 5 — PRODUCTS

We make reasonable efforts to display our products, images, descriptions, materials, dimensions, and other information as accurately as possible.

However:

Colours may appear differently depending on your device and screen settings.
Product images may vary slightly from the physical product.
Certain product characteristics may naturally vary due to materials, manufacturing processes, finishing, or production batches.
Product descriptions, specifications, availability, and pricing may change from time to time.

We reserve the right to discontinue products, modify products, limit quantities, or restrict availability where reasonably necessary, subject to applicable law.

Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

SECTION 6 — ORDERS AND PRE-ORDERS

When MATTR opens products for purchase, placing an order constitutes a request to purchase the selected products.

An order may not be considered accepted until MATTR confirms the order.

MATTR may cancel or decline an order where reasonably necessary, including in circumstances involving:

Product unavailability;
Pricing or listing errors;
Suspected fraud or misuse;
Unauthorised payment activity;
Technical errors;
Duplicate or unusual orders; or
Other circumstances permitted under applicable law.

If we cancel an order for which payment has already been received, we will process any applicable refund in accordance with the applicable Refund Policy and law.

MATTR may offer products on a pre-order or made-to-order basis. Where this applies, the relevant product page or purchase communication will specify the applicable terms, including estimated fulfilment timelines.

SECTION 7 — PRICES, PAYMENTS AND BILLING

All prices displayed on the Services are in Indian Rupees unless otherwise stated.

Prices, promotions, discounts, product availability, and other commercial terms may change from time to time.

The applicable price will generally be the price displayed at the time you place the relevant order or make the relevant payment, subject to correction of obvious errors.

Applicable taxes, shipping charges, duties, or other charges will be displayed or communicated where applicable.

Payments may be processed through Shopify and/or third-party payment service providers.

You agree to provide accurate and complete information necessary to process your transaction.

You represent that you are authorised to use the payment method used for the transaction.

MATTR does not intend to store complete debit card, credit card, banking, or UPI credentials on its own systems where such information is processed by the relevant payment provider.

SECTION 8 — MATTR BITS APPLIED TO ORDERS

Where MATTR BITS are eligible to be used toward an order, the applicable BITS balance will be applied according to the terms displayed or communicated by MATTR.

MATTR may restrict the use of BITS where required to prevent fraud, misuse, duplication, technical errors, or other abuse.

If an order using MATTR BITS is cancelled, returned, refunded, or otherwise reversed, the treatment of the relevant BITS will be determined in accordance with the applicable Refund Policy and the terms communicated for that promotion or waitlist tier.

SECTION 9 — SHIPPING AND DELIVERY

Where products are purchased, shipping and delivery terms will be communicated during the applicable purchase process or in the relevant order confirmation.

Any delivery dates or timelines provided by MATTR are estimates unless expressly stated otherwise.

MATTR is not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, weather, natural events, strikes, government restrictions, technical failures, or other force majeure events.

Nothing in this section limits your statutory rights under applicable law.

SECTION 10 — RETURNS, REFUNDS AND CANCELLATIONS

Returns, refunds, exchanges, cancellations, and other post-purchase matters are governed by MATTR's applicable Refund / Return Policy.

Where a separate policy applies, that policy will form part of these Terms.

Nothing in these Terms is intended to exclude or restrict any mandatory rights available to consumers under applicable law.

SECTION 11 — INTELLECTUAL PROPERTY

All content forming part of the Services, including MATTR's:

Name and logo
Brand identity
Product designs
Product names
Graphics
Photography
Videos
Illustrations
Copy
Website design
Layout
Visual elements
Text and other materials

is owned by or licensed to Hopkyn Retail Private Limited and is protected by applicable intellectual property laws.

You may access and use the Services for personal, non-commercial purposes.

You must not, without our prior written permission:

Copy or reproduce MATTR content;
Modify or create derivative works from our content;
Reproduce, distribute, sell, or commercially exploit our content;
Use MATTR's name, logo, designs, or other brand assets;
Scrape or systematically extract content from the Services; or
Use our content to create or promote a competing commercial service.

All rights not expressly granted to you are reserved by MATTR.

SECTION 12 — USER CONTENT AND FEEDBACK

If you voluntarily submit reviews, comments, suggestions, ideas, feedback, photographs, videos, or other content to MATTR ("User Content"), you remain responsible for that content.

By submitting User Content, you represent that:

You own or have the necessary rights to submit it;
It does not violate another person's rights;
It is not unlawful, misleading, defamatory, abusive, or otherwise objectionable; and
It does not contain malicious software or other harmful material.

You grant MATTR a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt, publish, display, and distribute User Content for purposes connected with operating, improving, marketing, or promoting MATTR and its Services.

We may remove User Content that we reasonably believe violates these Terms or applicable law.

SECTION 13 — THIRD-PARTY SERVICES

The Services may use or provide access to third-party services, technologies, payment providers, analytics tools, social platforms, shipping providers, or other third-party functionality.

These third parties may have their own terms and privacy policies.

MATTR is not responsible for the independent acts, omissions, policies, availability, or security of third-party services.

Your use of a third-party service may therefore be subject to that provider's terms.

SECTION 14 — SHOPIFY

MATTR's website and e-commerce infrastructure are powered by Shopify.

Shopify provides technology and infrastructure that enables MATTR to operate the Services. However, purchases and other transactions made directly with MATTR are transactions between you and Hopkyn Retail Private Limited.

Shopify is not the seller of MATTR products and is not responsible for the products, fulfilment, refunds, returns, or other obligations arising directly between you and MATTR.

Shopify may independently process certain information in accordance with its own privacy policies and applicable terms.

SECTION 15 — PRIVACY

Your use of the Services is also subject to our Privacy Policy.

Our Privacy Policy explains how MATTR collects, uses, stores, and shares personal information.

By using the Services, you acknowledge that you have read and understood our Privacy Policy.

SECTION 16 — PROHIBITED USES

You may use the Services only for lawful purposes.

You must not:

Violate any applicable law or regulation;
Attempt to gain unauthorised access to the Services;
Interfere with the security or operation of the Services;
Use bots, scripts, crawlers, scraping tools, or automated systems to access or extract information from the Services without our permission;
Circumvent access restrictions, launch controls, passwords, or security measures;
Create fraudulent waitlist registrations;
Manipulate, duplicate, transfer, or exploit MATTR BITS improperly;
Use stolen, fraudulent, or unauthorised payment methods;
Impersonate another person or entity;
Submit false or misleading information;
Upload malicious code or harmful material;
Harass, abuse, threaten, or harm MATTR personnel or other users;
Copy or commercially exploit MATTR's content or intellectual property without permission; or
Use the Services in a manner that could harm MATTR, our customers, or third parties.

We may suspend or terminate access where we reasonably believe these Terms have been violated.

SECTION 17 — ERRORS AND CHANGES

The Services may occasionally contain typographical errors, inaccurate information, technical errors, pricing errors, or omissions relating to products, availability, promotions, pricing, shipping, or other information.

We reserve the right to correct such errors and update information where reasonably necessary.

Where an error materially affects a transaction for which payment has already been made, we will take appropriate steps in accordance with applicable law, which may include cancelling the affected transaction and issuing an applicable refund.

SECTION 18 — SERVICE AVAILABILITY

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, third-party failures, or circumstances outside our reasonable control.

MATTR may modify, suspend, or discontinue any part of the Services at any time, subject to applicable law and any obligations already incurred by us.

SECTION 19 — DISCLAIMER

To the fullest extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.

We do not guarantee that:

The Services will always be available;
The Services will be free from errors;
Any particular product will remain available;
A launch will occur at a particular time unless expressly stated;
A waitlist registration will result in a purchase opportunity; or
Any particular MATTR BITS-related benefit will remain available beyond the terms communicated for the relevant tier or promotion.

Nothing in these Terms excludes or limits warranties, guarantees, consumer rights, or other protections that cannot lawfully be excluded or limited under applicable law.

SECTION 20 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, MATTR and its directors, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the Services.

This includes losses arising from:

Temporary unavailability of the Services;
Third-party service interruptions;
Unauthorised access resulting from circumstances outside our reasonable control;
Delays caused by third-party providers;
Loss of anticipated profits or opportunities; or
Other indirect losses.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law, including applicable consumer protection rights.

SECTION 21 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless MATTR, Hopkyn Retail Private Limited, and its directors, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:

Your breach of these Terms;
Your unlawful use of the Services;
Your violation of another person's rights; or
Your misuse of the Services, MATTR BITS, access credentials, or other MATTR benefits.

This section will not apply to the extent that a claim results from MATTR's own unlawful conduct, negligence, or other liability that cannot legally be excluded.

SECTION 22 — TERMINATION AND SUSPENSION

MATTR may suspend or terminate your access to the Services where we reasonably believe that you have:

Violated these Terms;
Engaged in fraudulent or abusive activity;
Misused MATTR BITS or launch access;
Attempted to compromise the Services; or
Engaged in conduct that may harm MATTR, our users, or third parties.

Termination or suspension will not affect rights or obligations that have already accrued.

Provisions relating to intellectual property, privacy, liability, indemnification, governing law, and any other provisions intended by their nature to survive termination will continue to apply.

SECTION 23 — GRIEVANCE REDRESSAL

If you have a complaint or grievance regarding the Services, an order, a transaction, or any issue covered by these Terms, you may contact MATTR using the contact details below.

We will make reasonable efforts to acknowledge and resolve grievances within the timeframes required under applicable law.

SECTION 24 — SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will continue in full force and effect.

SECTION 25 — ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund / Return Policy, and any specific terms displayed for a particular waitlist tier, promotion, product, purchase, or Service, constitute the agreement between you and MATTR regarding your use of the Services.

Where specific terms relating to a promotion, waitlist tier, or transaction conflict with these Terms, the specific terms applicable to that promotion, tier, or transaction will govern to the extent of the conflict.

SECTION 26 — ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

MATTR may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction, subject to applicable law.

SECTION 27 — GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India.

Subject to applicable consumer protection laws and any mandatory jurisdictional rights available to you, disputes arising from these Terms or your use of the Services will be subject to the jurisdiction of the courts having jurisdiction over the registered office of Hopkyn Retail Private Limited.

Nothing in this section limits any statutory right you may have to approach a consumer forum, commission, authority, or other competent body under applicable law.

SECTION 28 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business practices, technology, or applicable laws.

The updated version will be posted on this page with a revised "Last Updated" date.

Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
